Terms of Service for PeerSwipe

  1. Agreement to Terms

By accessing or using the PeerSwipe mobile application, website, and any other linked pages, features, content, or application services (collectively, the "Service"), or by clicking to accept these Terms of Service when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), whether or not you have registered with the Service. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and PeerSwipe LLC (or its affiliates, licensors, and/or suppliers, as applicable), referred to as "PeerSwipe," "we," "us," or "our."

  1. Modifications to Terms

We reserve the right, at our sole discretion, to modify these Terms at any time. If we make material changes to these Terms, we will notify you through the Service, via email, or by other means. Your continued use of the Service after such modifications constitutes your acknowledgment of the modified Terms and agreement to abide and be bound by them. If you do not agree to the modified terms, you must stop using the Service.

  1. Eligibility

You must be at least 18 years of age to access or use the Service. By accessing or using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing or using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

  1. Registration and Account Security

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are solely responsible for safeguarding your password and for all activity that occurs under your account. You agree to immediately notify PeerSwipe of any unauthorized use of your account or password or any other breach of security. PeerSwipe will not be liable for any loss or damage arising from your failure to comply with this section.

4.1 Account Verification

We may, at our discretion, use various methods to verify your identity and account information, including but not limited to email verification, phone verification, and professional credential validation. You agree to complete any verification processes we require and acknowledge that certain features of the Service may be limited until verification is complete.

  1. Subscription Services

5.1 Subscription Options

PeerSwipe offers various subscription plans, including a premium subscription service ("PeerSwipe Pro"), that provide additional features beyond the basic service. The features included in each subscription plan are described on our website and within the App at the time of purchase.

5.2 Free Trial

We may offer free trials of our subscription services. Unless otherwise stated, free trials automatically convert to paid subscriptions unless cancelled before the trial period ends. Any unused portion of a free trial period will be forfeited when you purchase a subscription.

5.3 Billing and Auto-Renewal

By subscribing to PeerSwipe Pro or any other paid service:

  • You authorize us to charge the payment method you provide on a recurring basis until you cancel.

  • Payment will be charged to your payment method (such as Apple ID, Google Play account, or credit card) at confirmation of purchase.

  • Subscriptions automatically renew for the same subscription period (monthly, yearly, etc.) unless auto-renew is turned off at least 24 hours before the end of the current period.

  • Subscription fees may change upon renewal. We will notify you of any price changes before they take effect.

5.4 Cancellation and Refunds

You can cancel your subscription at any time by managing your subscription through your account settings in the Apple App Store, Google Play Store, or through your PeerSwipe account settings if billed directly. Cancellation will take effect at the end of your current billing period.

Generally, we do not provide refunds or credits for partial subscription periods or unused subscription time. Refunds may be provided at our discretion or when required by applicable law. Refund requests should be directed to our customer support team.

5.5 Promotional Codes and Discounts

We may offer promotional codes or discounts for our subscription services. These promotions are subject to specific terms disclosed at the time they are offered. Promotional offers cannot be combined unless explicitly stated otherwise.

  1. User Content

6.1 Content Ownership

You retain all ownership rights in the content you post, upload, share, or otherwise provide through the Service ("User Content"). By posting User Content, you grant PeerSwipe a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

6.2 Content Restrictions

You represent and warrant that your User Content, and our use of such content as permitted by these Terms, will not:

  • Violate any third-party rights, including intellectual property rights, privacy rights, publicity rights, or confidentiality rights;

  • Contain software viruses or any other code designed to interfere with, damage, or limit the functionality of computer software, hardware, or telecommunications equipment;

  • Be defamatory, obscene, offensive, threatening, abusive, harassing, or otherwise objectionable;

  • Be false, misleading, or deceptive;

  • Violate any applicable law or regulation.

6.3 Content Removal

We reserve the right, but not the obligation, to review, monitor, and remove User Content at our sole discretion, including User Content that we believe violates these Terms or is otherwise objectionable, without prior notice to you.

  1. Professional Networking Features

7.1 Swipe Functionality

Our Service includes features that allow you to view potential professional connections and indicate interest or disinterest through a "swipe" mechanism. You understand that the Service uses algorithms to suggest potential connections based on information you provide and your usage patterns. While we strive to provide relevant suggestions, we do not guarantee the accuracy, completeness, or relevance of these suggestions.

7.2 Matching and Communication

When you and another user mutually indicate interest, a "match" is created, enabling communication between you. You are solely responsible for all communications with other users and agree to communicate in a professional and respectful manner.

7.3 Industry Filtering

PeerSwipe Pro subscribers have access to industry filtering features that allow for more targeted networking. These filters are provided as-is, and while we strive for accuracy, we do not guarantee the industry classifications or that all users have accurately represented their industries.

  1. Groups and Communities

8.1 Group Creation and Management

PeerSwipe Pro subscribers can create and manage professional groups. As a group creator or administrator, you are responsible for managing the group in compliance with these Terms and any additional group-specific guidelines you establish.

8.2 Group Content

Group administrators and members may post content within groups. All User Content provisions in these Terms apply to group content. Group administrators may establish additional content guidelines specific to their groups, but these cannot conflict with these Terms.

8.3 Group Invitations and Membership

Group administrators control membership through invitations, approval of join requests, or invitation codes. Administrators may remove members who violate group guidelines or these Terms. PeerSwipe reserves the right to remove groups that violate these Terms or are otherwise objectionable.

  1. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Service for any illegal purpose or in violation of any applicable laws;

  • Harassing, threatening, intimidating, or impersonating any person;

  • Collecting or storing personal data about other users without their express consent;

  • Creating multiple accounts, creating an account on behalf of someone else, or providing false information when registering;

  • Using the Service for any commercial solicitation or spam;

  • Attempting to access the Service through automated means, including bots, scrapers, or similar technologies;

  • Circumventing, disabling, or otherwise interfering with security-related features of the Service;

  • Attempting to reverse engineer, decompile, or disassemble any portion of the Service;

  • Selling, transferring, or sublicensing your account or any data obtained from the Service;

  • Using the Service in a manner that could disable, overburden, or impair the Service or interfere with any other party's use of the Service.

  1. Intellectual Property Rights

10.1 PeerSwipe Content

Except for User Content, all content on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of PeerSwipe or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works from this content without our express written permission.

10.2 Feedback

Any feedback, suggestions, ideas, or other information you provide to us regarding the Service ("Feedback") is non-confidential and becomes our property. We may use such Feedback without restriction or compensation to you.

10.3 Copyright Infringement

If you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our copyright agent with the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner;

  • A description of the copyrighted work that you claim has been infringed;

  • A description of where the material that you claim is infringing is located on the Service;

  • Your address, telephone number, and email address;

  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

  1. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by PeerSwipe. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that PeerSwipe shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

  1. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the Service's settings.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

  1. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PEERSWIPE AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PEERSWIPE MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

  1. Limitation of Liability

IN NO EVENT SHALL PEERSWIPE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT PEERSWIPE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT PEERSWIPE SHALL NOT BE LIABLE FOR USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
